PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY ACCESSING, BROWSING, USING THE PLATFORM, SUBMITTING A REQUEST, OR ENGAGING ANY OF THE SERVICES OFFERED BY BIMCORP, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

The service is provided by BIMCORPMX, S.A. de C.V., with address in Mazatlán, Sinaloa, Mexico, hereinafter referred to as "BIMCORP".

1. Identification of BIMCORP

BIMCORP is a Mexican company that offers, through its website located at https://bimcorp.mx, digital services related to company incorporation, corporate management, legal, tax and administrative procedures, corporate compliance, and business softlanding services in Mexico. For any communication related to these Terms and Conditions, the User may contact BIMCORP at hello@bimcorp.mx.

2. Acceptance of the Terms and Conditions

By accessing, browsing, registering, submitting a request, or using the Platform, the User acknowledges that they have read, understood, and fully accepted these Terms and Conditions, which are legally binding and enforceable. Accordingly, the User accepts the terms applicable to the use of the Platform, its content, and the services offered by BIMCORP. If the User does not agree with these Terms and Conditions, the User must refrain from accessing, using, or engaging any service offered through the Platform.

3. Definitions

For purposes of these Terms and Conditions, the following terms shall have the meanings set forth below.

BIMCORP means BIMCORPMX, S.A. de C.V.

Platform means the website, forms, digital flows, technological tools, communications, and other digital channels operated or enabled by BIMCORP to receive requests, collect information, provide services, follow up on processes, and communicate with the User.

User means any individual or legal entity that accesses, browses, uses the Platform, submits a request, provides information, or engages BIMCORP’s services, whether directly or through a representative.

Services means the digital services offered by BIMCORP, including, by way of example, company incorporation, corporate management, corporate compliance, legal, tax and administrative procedures, softlanding services, and special or customized services.

Partners means the professional, technical, operational, or institutional third parties that BIMCORP may rely on to provide the Services, including notaries, attorneys, accountants, advisors, agents, technology providers, electronic signature providers, financial institutions, authorities, or any other third party whose involvement is necessary or convenient to address the User’s request.

Request means the information, form, instruction, requirement, or communication submitted by the User to BIMCORP through the Platform or through any other channel authorized by BIMCORP.

Package means the set of Services, scope, terms, and price applicable to the option engaged by the User, as published on the Platform or communicated by BIMCORP during the engagement process.

Price means the amount applicable to the Service or Package engaged by the User, as published on the Platform, quoted by BIMCORP, or accepted by the User during the engagement process.

Privacy Notice means BIMCORP’s privacy notice available on the Platform.

4. Purpose of the Platform

BIMCORP offers, through its Platform, digital services for company incorporation and corporate, legal, tax and operational management in Mexico, relying on technological tools and Partners necessary for the provision of the Services. The Platform allows the User to provide information, upload documents, submit requests, receive follow-up, engage Packages, and remotely manage certain processes related to the creation, operation, or compliance of companies in Mexico. The specific scope of each Service shall be the one published on the Platform or communicated to the User during the engagement process. Any service, action, or procedure not expressly included in the Package engaged may generate additional costs.

5. Services Offered

BIMCORP may offer, among others, the following Services.

  • Incorporation of Mexican companies.
  • Corporate management and preparation of corporate documents.
  • Corporate compliance services.
  • Tax, administrative, or regulatory procedures.
  • Services related to RFC, e.firma, RNIE, bank accounts, registrations, or registries, when included in the Package engaged or quoted separately.
  • Business softlanding services in Mexico.
  • Special or customized services, according to the User’s needs.

The Services may be provided directly by BIMCORP or with the support of Partners. The involvement of third parties may vary depending on the Service engaged, operational availability, applicable legal requirements, and the characteristics of the file.

BIMCORP may reject, suspend, or cancel a request when it considers that the information provided is insufficient, inconsistent, false, unlawful, risky, unfeasible, or contrary to applicable law, these Terms and Conditions, or BIMCORP’s internal policies.

6. Digital Nature of the Service

BIMCORP’s Services are provided primarily through digital means, including the Platform, remote communications, electronic document upload, digital validations, electronic signature, remote follow-up, and electronic delivery of documentation, as applicable. The User acknowledges that certain acts, procedures, authorizations, reviews, signatures, notarizations, registrations, filings, validations, bank account openings, or responses may depend on third parties, Partners, or competent authorities. Therefore, BIMCORP does not guarantee specific response, authorization, signature, notarization, registration, delivery, or approval times when such acts depend on third parties or authorities. When, due to the nature of the Service, any in-person, physical, or additional action is required, BIMCORP will inform the User and may quote the corresponding costs separately.

7. Information and Documents Provided by the User

The User acknowledges and accepts that the provision of the Services depends on the information, documents, instructions, and authorizations provided to BIMCORP. The User agrees to provide truthful, complete, updated, legible, lawful, and sufficient information and documents for the provision of the Services. The User also represents that they have the necessary authorization, representation, or authority to provide BIMCORP with information, personal data, or documents of third parties related to the Service request, including partners, shareholders, representatives, attorneys-in-fact, beneficial owners, statutory examiners, managers, or any other person connected with the relevant structure.

BIMCORP shall not be liable for delays, rejections, observations, additional costs, inability to provide the Service, or any legal, tax, administrative, registry, banking, notarial, or commercial consequence resulting from false, incomplete, inaccurate, outdated, illegible, inconsistent information, or information provided without sufficient authorization.

BIMCORP may suspend all or part of the Services when the User fails to provide the required information, fails to respond to clarification requests, fails to complete necessary validations, fails to deliver sufficient documents, or when there are indications of falsity, simulation, misuse, legal risk, or breach of these Terms and Conditions.

8. Partners and Third Parties

For the provision of the Services, BIMCORP may rely on Partners, including notaries, attorneys, accountants, advisors, agents, technology providers, electronic signature providers, financial institutions, authorities, and other operational third parties. BIMCORP will make reasonable efforts to collaborate with suitable Partners for the provision of the Services. However, the User acknowledges that such Partners may act independently and under their own professional, legal, tax, technical, or operational responsibility.

BIMCORP shall not be liable for acts, omissions, errors, delays, criteria, observations, rejections, breaches, failures, unavailability, or decisions attributable to Partners, authorities, financial institutions, notaries, technology providers, or any third party outside BIMCORP’s direct control. The foregoing does not limit BIMCORP’s liability for its own acts directly attributable to BIMCORP under applicable law and these Terms and Conditions.

9. Prices, Currency, Payments, and Invoicing

The prices of the Services may be displayed on the Platform or in BIMCORP’s commercial communications in United States dollars, solely as a commercial reference currency. However, since BIMCORP is a Mexican company, payments shall be charged and payable in Mexican pesos, according to the exchange rate, conversion, equivalent amount, peso-denominated price, or payment mechanism determined or communicated by BIMCORP to the User at the time of engagement or payment. The User acknowledges and accepts that the final price payable may be reflected in Mexican pesos on the payment platform, invoice, receipt, payment link, or payment method used by BIMCORP. Any variation arising from exchange rates, bank fees, payment processor fees, taxes, international charges, or costs associated with the payment method shall be borne by the User, unless BIMCORP expressly states otherwise.

The applicable prices shall be those published on the Platform, quoted by BIMCORP, or accepted by the User during the engagement process. BIMCORP may update its prices at any time. Unless otherwise agreed, price changes shall not affect Services already paid by the User, but may apply to new Services, renewals, reactivations, extensions, additional services, or Packages engaged thereafter.

BIMCORP may require full, partial, initial, complementary, recurring, or advance payment for the Services, depending on the Package engaged. BIMCORP shall not be required to start, continue, deliver, sign, file, notarize, register, or complete any Service if the User has not made the corresponding payments.

Any procedure, action, expense, government fee, tax, shipment, translation, certification, legalization, apostille, third-party fee, notarial act, registration, banking procedure, administrative procedure, regulatory procedure, or additional service not expressly included in the Package engaged may generate additional charges, which shall be paid by the User.

Invoicing shall be carried out in accordance with applicable tax law and the tax information provided by the User. BIMCORP shall not be liable for invoicing errors resulting from incorrect, incomplete, or untimely tax information provided by the User.

10. Cancellations and Refunds

The User acknowledges that BIMCORP’s Services may involve analysis, document management, coordination with Partners, interaction with authorities, use of platforms, preparation of documents, procedures, payments to third parties, or acts that, once started, may be wholly or partially irreversible, non-reusable, or non-transferable. For one-time Services, including company incorporation, preparation of documents, specific procedures, or defined actions, no full refund shall apply once BIMCORP, its Partners, or involved third parties have started activities related to the Service engaged. Partial refunds may be considered only when the User requests cancellation before any effective action, document review, coordination with third parties, document preparation, procedure, validation, filing, payment, or act related to the Service has started. In such case, BIMCORP may retain processing fees, administrative charges, non-recoverable taxes, and costs actually incurred. If the cancellation results from a cause directly attributable to BIMCORP and acknowledged in writing by BIMCORP, the applicable refund may be made according to the specific circumstances of the case.

For subscription, monthly retainer, or continuous Services, the User may cancel the Service at any time, provided that the User is current in the payment of the ongoing month and any amount accrued up to the effective cancellation date. The cancellation of continuous Services shall not entitle the User to a refund of payments already made, including the ongoing month, nor shall it release the User from paying for services, actions, procedures, fees, government fees, expenses, or costs already generated before cancellation. As of the effective cancellation date, BIMCORP shall fully suspend the corresponding Service, including follow-up on procedures, actions, advisory support, reminders, corporate compliance, operational support, or any other activity associated with the cancelled Service. If the User wishes to reactivate the Service thereafter, the User must engage the applicable Package again and pay the price in effect at the time of reactivation, without BIMCORP being required to preserve previously granted terms, prices, progress, benefits, or conditions.

Any cancellation request must be sent in writing to hello@bimcorp.mx, indicating the User’s name, the Service engaged, and the reasons for cancellation.

11. Scope and Limitation of Liability

BIMCORP shall provide the Services with reasonable diligence, according to the scope of the Package engaged, the information provided by the User, and the applicable operational, legal, and technical conditions. However, BIMCORP does not guarantee results that depend on third parties, Partners, or authorities, including name approvals, administrative authorizations, registrations before public registries, issuance of RFC, obtainment of e.firma, opening of bank accounts, registrations in official registries, regulatory authorizations, acceptance by financial institutions, authority timelines, notarial criteria, system availability, courier times, or any other act outside BIMCORP’s direct control.

BIMCORP also does not guarantee commercial results, sales, profitability, access to investment, economic success, market positioning, tax viability, legal convenience, bank acceptance, commercial operation, or suitability of a structure chosen by the User, unless there is a specific written engagement expressly establishing such scope.

The information available on the Platform, general communications, informational materials, forms, preliminary recommendations, guides, or BIMCORP content is for informational purposes and does not constitute personalized legal, tax, accounting, financial, immigration, regulatory, or investment advice, unless BIMCORP expressly states so in writing as part of the Service engaged.

To the extent permitted by applicable law, BIMCORP shall not be liable for indirect damages, loss of profits, loss of opportunities, consequential damages, punitive damages, loss of information, business interruption, or any damage resulting from causes not directly attributable to BIMCORP.

12. Permitted Use of the Platform

The User agrees to use the Platform and the Services only for lawful purposes and in accordance with these Terms and Conditions. The User may not use the Platform for fraudulent, misleading, unlawful purposes or purposes contrary to third-party rights. The User may not interfere with the operation of the Platform, attempt to access systems without authorization, extract information, use unauthorized automated tools, upload malicious code, provide false information, or use the Services to provide services to third parties without BIMCORP’s prior written authorization.

BIMCORP may suspend or cancel the User’s access to the Platform or the Services when it detects misuse, breach of these Terms and Conditions, legal risk, suspicious operation, false information, or any conduct that may affect BIMCORP, its Partners, other users, or third parties.

13. Intellectual Property

All intellectual and industrial property rights related to BIMCORP, the Platform, brand, trade name, design, software, forms, flows, texts, content, base documents, materials, databases, processes, interfaces, graphics, images, structure, functionalities, and other elements of the Platform are owned by BIMCORP or its licensors, as applicable. The User does not acquire any rights over such elements by accessing the Platform or engaging Services. It is prohibited to copy, reproduce, modify, distribute, sell, sublicense, exploit, reverse engineer, adapt, or use any element of the Platform or the Services for purposes other than those expressly permitted by BIMCORP. Final documents delivered to the User as part of an engaged Service may be used by the User only for the purposes of the User’s own project, company, or relevant procedure, without implying any assignment of rights over BIMCORP’s templates, formats, methodologies, processes, technology, or base materials.

14. Electronic Communications

The User accepts that BIMCORP may contact the User through the contact channels provided during registration, request, or engagement, including email, telephone, SMS, WhatsApp, or other digital means. Such communications may have operational, administrative, legal, contractual, tax, compliance, follow-up, support, collection, document delivery, customer service, or any other purposes related to the provision of the Services. The User agrees to keep their contact information updated. BIMCORP shall not be liable for failure to receive communications resulting from incorrect, outdated, inaccessible, blocked, or incomplete contact information provided by the User.

15. Privacy Notice

The processing of the User’s personal data shall be governed by BIMCORP’s Privacy Notice, available on the Platform. By accessing, using the Platform, submitting a request, or engaging BIMCORP’s Services, the User acknowledges having had access to the Privacy Notice and consents to the processing of their personal data in accordance with such document, except in cases where applicable law requires express consent. The User represents that they have the necessary authorization or authority to provide BIMCORP with personal data or documents of third parties related to the Service request.

16. Amendments to the Terms and Conditions

BIMCORP may amend these Terms and Conditions at any time. The current version will be available on the Platform. The version applicable to each Service shall generally be the one in force at the time of engagement. In the case of continuous Services, subscriptions, retainers, or ongoing relationships, amendments may apply prospectively once published on the Platform or notified to the User through the available contact channels. Continued use of the Platform or the Services after the publication or notification of amendments shall constitute acceptance of the amended Terms and Conditions.

17. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the applicable laws of the United Mexican States. For the interpretation, performance, and enforcement of these Terms and Conditions, the parties submit to the competent courts of Mexico City, expressly waiving any other jurisdiction that may correspond to them by reason of their present or future domicile, location of assets, or any other cause.

18. Language

These Terms and Conditions were originally drafted in Spanish. If versions in other languages exist, such versions are provided solely for the User’s convenience. In the event of any discrepancy, conflict of interpretation, or divergence between the Spanish version and any translation, the Spanish version shall prevail at all times.

19. Entire Agreement

These Terms and Conditions, together with the Privacy Notice, the description of the Package engaged, the payment confirmation, and any document or communication expressly accepted by BIMCORP, constitute the entire agreement between BIMCORP and the User regarding the use of the Platform and the engagement of the Services. Any failure by BIMCORP to enforce any provision of these Terms and Conditions shall not constitute a waiver of its right to enforce such provision in the future. If any provision of these Terms and Conditions is declared invalid, illegal, or unenforceable, such provision shall be interpreted as closely as possible to its original intent, without affecting the validity of the rest of the document.

THE USER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND ACCEPTED THESE TERMS AND CONDITIONS, AND THAT THEY ARE LEGALLY BINDING UPON ACCESSING, USING THE PLATFORM, SUBMITTING A REQUEST, OR ENGAGING BIMCORP’S SERVICES.
